Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) are a legally binding agreement between you (“you” or “User”) and Amplify Media Consulting LLC, a Florida limited liability company doing business as NoodleTomato (“NoodleTomato,” “we,” “us,” or “our”), governing your access to and use of the noodletomato.com website and all related services, tools, and APIs (collectively, the “Service”).

By creating an account, accessing, or using the Service, you confirm that you (a) are at least 18 years of age, (b) have the legal capacity to enter into these Terms, and (c) agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy, each of which is incorporated herein by reference. If you do not agree to these Terms, do not use the Service.

2. Description of Service

NoodleTomato is an AI-powered video generation platform. Users submit a topic and the Service automatically produces a complete video — including script, narration, visuals, subtitles, and final assembled video file — suitable for upload to video-sharing platforms such as YouTube and TikTok.

The Service relies on third-party AI models and infrastructure providers. Feature availability, generation quality, processing times, and output format may change without notice as we improve the Service or as our providers evolve their offerings.

3. Accounts

3.1 Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep it up to date. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your account credentials.

3.2 One Account Per Person

Each individual may maintain only one account. Creating multiple accounts to circumvent usage limits, abuse promotional offers, or evade enforcement actions is prohibited and grounds for immediate termination.

4. Subscriptions, Minutes & Payment

4.1 Plans & Billing

The Service offers subscription plans and minute-based usage. All fees are stated in U.S. dollars and are exclusive of applicable taxes. Subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled before the renewal date. You authorize us to charge your payment method on file for all recurring and one-time fees.

4.2 Minute System

Video generation consumes minutes. Minutes are allocated with your subscription and may also be purchased as one-time top-ups. Minutes are non-transferable, have no cash value, and unused subscription minutes do not roll over to the next billing period unless otherwise stated in your plan details.

4.3 Pricing Changes

We reserve the right to change our pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing period following reasonable notice (which we will provide via email or in-app notification). If you do not agree with a price change, you may cancel your subscription before the new price takes effect.

4.4 Refunds

Refund requests are evaluated on a case-by-case basis at our sole discretion. We are under no obligation to issue refunds for any reason, including unused minutes, partial billing periods, or dissatisfaction with generated content. To request a refund, contact support@noodletomato.com.

5. Intellectual Property

5.1 Your Content

You retain ownership of the topics, prompts, and other input you submit to the Service (“User Input”) and of the videos, images, scripts, audio, and other output the Service generates for you (“Generated Content”). Subject to these Terms, Generated Content is yours to use for any lawful purpose, including full commercial use (e.g., YouTube monetization, resale, licensing), without obligation to credit or attribute NoodleTomato.

5.2 License to NoodleTomato

By submitting User Input and receiving Generated Content, you grant NoodleTomato a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, and distribute your User Input and Generated Content for the following purposes: (a) operating, maintaining, and improving the Service; (b) developing and training AI models and features; (c) marketing, promotional, and demonstration purposes (e.g., showcasing sample outputs on our website); and (d) complying with legal obligations. This license survives termination of your account.

5.3 No Uniqueness Guarantee

AI-generated content is probabilistic. Other users who submit similar topics may receive similar or substantially identical output. We make no representation that your Generated Content will be unique, original, or non-infringing.

5.4 NoodleTomato IP

All rights in and to the Service — including its software, design, branding, trademarks, and documentation — are and remain the exclusive property of Amplify Media Consulting LLC. Nothing in these Terms grants you any right to use our trademarks, trade names, logos, or other brand features without our prior written consent.

6. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms. Violations may result in suspension or termination of your account.

7. AI-Generated Content Disclaimers

You acknowledge and agree that:

  • Accuracy. AI-generated scripts, narration, and visuals may contain factual inaccuracies, biases, hallucinations, or misleading statements. You are solely responsible for reviewing all Generated Content for accuracy before publishing or distributing it.
  • Platform Policies. Video-sharing platforms (including YouTube, TikTok, and others) may have their own policies regarding AI-generated content. Such platforms may flag, demonetize, restrict, or remove AI-generated videos at their discretion. NoodleTomato has no control over third-party platform decisions and bears no responsibility for any adverse action taken by a third-party platform against your content.
  • Copyright & Third-Party Rights. AI models may produce output that inadvertently resembles copyrighted material or infringes third-party rights. You are solely responsible for ensuring your use of Generated Content does not violate the rights of any third party.
  • No Professional Advice. Generated Content does not constitute legal, medical, financial, or other professional advice.

8. Service Availability

The Service is provided on an “as available” basis. We do not guarantee any specific level of uptime, availability, or performance. We may modify, suspend, or discontinue all or any part of the Service at any time, with or without notice, for any reason. We will make commercially reasonable efforts to provide advance notice of material changes.

9. Termination

9.1 Termination by You

You may cancel your subscription and close your account at any time by contacting us at support@noodletomato.com or through the Stripe billing portal. Cancellation takes effect at the end of your current billing period; you will retain access to the Service until then.

9.2 Termination by NoodleTomato

We may suspend or terminate your account at any time with reasonable notice for any reason or no reason. We may terminate your account immediately and without notice if we believe you have violated these Terms, our Acceptable Use Policy, or applicable law. We will use reasonable efforts to notify you of the reason for termination, but are not obligated to do so.

9.3 Effect of Termination

Upon termination, (a) your right to access the Service ceases immediately; (b) all Generated Content and associated media files stored on our servers will be permanently deleted; (c) any unused minutes are forfeited and non-refundable; and (d) Sections 5.2, 5.4, 10, 11, 12, 13, 14, and 15 survive termination.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT (A) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, RELIABLE, OR FREE FROM BIAS; (D) AI-GENERATED CONTENT WILL NOT INFRINGE THIRD-PARTY RIGHTS; OR (E) VIDEOS CREATED THROUGH THE SERVICE WILL BE ACCEPTED, MONETIZED, OR NOT REMOVED BY THIRD-PARTY PLATFORMS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NOODLETOMATO, AMPLIFY MEDIA CONSULTING LLC, OR THEIR OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF GOODWILL — ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO ONE HUNDRED U.S. DOLLARS (US $100.00). THIS LIMITATION APPLIES REGARDLESS OF WHETHER YOUR REMEDIES UNDER THESE TERMS FAIL OF THEIR ESSENTIAL PURPOSE.

12. Indemnification

You agree to indemnify, defend, and hold harmless Amplify Media Consulting LLC (d/b/a NoodleTomato), its officers, directors, members, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) User Input you submit or Generated Content you publish or distribute; (c) your violation of these Terms or our Acceptable Use Policy; (d) your violation of any third-party right, including intellectual property, privacy, or publicity rights; or (e) any claim that your use of the Service caused damage to a third party.

13. Dispute Resolution & Arbitration

13.1 Informal Resolution

Before initiating any formal proceeding, you agree to first contact us at support@noodletomato.com and attempt to resolve the dispute informally for at least 30 days.

13.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including the determination of the scope or applicability of this agreement to arbitrate — shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The arbitration shall take place in Miami-Dade County, Florida (or, at your election, via telephone or videoconference). Judgment on the arbitration award may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND NOODLETOMATO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

13.4 Exceptions

Either party may bring a claim in small claims court if the claim qualifies. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. To the extent that any action is permitted to be brought in court rather than arbitration, you and NoodleTomato consent to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.

15. General Provisions

  • Entire Agreement. These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and NoodleTomato regarding the Service and supersede all prior agreements and understandings.
  • Amendments. We may modify these Terms at any time by posting the revised version on the Service. Material changes will be communicated via email or prominent in-app notice at least 30 days in advance. Your continued use of the Service after the effective date of any modification constitutes acceptance of the revised Terms.
  • Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
  • Force Majeure. We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, acts of government, pandemic, internet or infrastructure failures, or the unavailability of third-party AI providers.
  • Notices. We may provide notices to you via the email address associated with your account or through in-app notifications. Notices to us must be sent to support@noodletomato.com.
